Terms of Service

1. Acceptance of Terms

By accessing or using Reconvene ("the Service"), operated by Reconvene LLC Condominiums ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes via email or in-app notice.

2. Description of Service

Reconvene is a web-based property management platform for HOAs and condominiums. The Service provides document management, dues tracking, service request management, announcements, meeting scheduling, and related features for property managers, administrators, board members, and property owners.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Property managers may register directly. Other users (administrators, board members, owners) are invited by an authorized property manager or administrator within their organization.

You must notify us immediately of any unauthorized use of your account.

4. Subscription & Payment

Access to the Service requires a paid subscription. Pricing, features, and billing terms are described on our pricing page and may be updated from time to time.

Subscriptions are billed monthly. You authorize us to charge the payment method on file for recurring fees until you cancel. Cancellation takes effect at the end of the current billing period — no partial refunds are provided for unused time.

We reserve the right to change pricing with 30 days' advance notice to active subscribers.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload malicious code, viruses, or harmful content
  • Attempt to access another user's account or another organization's data
  • Interfere with the operation, security, or performance of the Service
  • Scrape, crawl, or use automated means to access the Service without permission
  • Use the Service to send unsolicited communications or spam

6. User Content

You retain ownership of all content you upload to the Service (documents, images, announcements, etc.). By uploading content, you grant us a limited license to store, process, and display it as necessary to provide the Service.

You are solely responsible for the content you upload and represent that you have the right to share it. We do not review or endorse user-uploaded content.

7. Multi-Tenancy & Data Isolation

The Service operates on a multi-tenant architecture. Each organization's data is logically isolated. Users may belong to multiple organizations but can only access data within organizations they are authorized to view.

Property managers and administrators are responsible for managing user access and roles within their organizations.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We are not liable for any loss or damage resulting from service interruptions.

9. Termination

You may cancel your subscription at any time through your account settings or by contacting us.

We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or if we reasonably believe your use poses a risk to the Service or other users. We will provide notice when feasible.

Upon termination, your right to access the Service ceases. We may retain your data for a reasonable period to comply with legal obligations, after which it will be deleted.

10. Limitation of Liability

To the maximum extent permitted by law, the Service is provided "as is" without warranties of any kind, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Texas.
